Terms & Conditions

These Terms and Conditions ("Terms") govern your use of the Seiv mobile application and website (collectively, the "Service") operated by Turaco Labs Inc. ("Turaco Labs," "we," "us," or "our"), a company incorporated under the laws of the United States.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

1. Eligibility

You must be at least 18 years old to use the Service. By creating an account, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. Account Registration

To use the Service, you must create an account using a supported authentication provider (currently Google via Clerk). You are responsible for:

• Maintaining the security of your account credentials
• All activity that occurs under your account
• Notifying us immediately at hello@seivai.com if you suspect unauthorized access to your account

We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent purposes.

3. Description of the Service

Seiv is an AI-powered financial reporting tool that:

• Connects to your financial data sources (including Google Sheets, QuickBooks, Xero, Shopify, Plaid, and Zoho Books) via read-only API access
• Extracts and structures financial data from your connected sources
• Generates financial reports including key performance indicators, profit and loss statements, cash flow summaries, and AI-written narrative analysis
• Delivers reports on a schedule you define (daily, weekly, or monthly)
• Provides an AI chat assistant that answers questions about your financial data

4. Data Source Connections

4.1 Authorization

When you connect a data source, you authorize Seiv to access your financial data through that provider's API using OAuth 2.0. You represent that you have the right to grant this access and that doing so does not violate any agreement you have with the data source provider.

4.2 Read-Only Access

Seiv requests only read-only access to your data sources. We do not modify, write to, or delete any data in your connected accounts. For Google Sheets specifically, we use the spreadsheets.readonly and drive.readonly OAuth scopes.

4.3 Revoking Access

You may disconnect any data source at any time through your account settings. You can also revoke access directly through the data source provider's security settings. When you disconnect a source, we delete the associated OAuth tokens.

4.4 Third-Party Integrations

Your use of connected data sources (Google Sheets, QuickBooks, Xero, Shopify, Plaid, Zoho Books) is also subject to the terms of service and privacy policies of those respective providers. We are not responsible for the availability, accuracy, or security practices of third-party data source providers.

5. AI-Generated Content

5.1 Nature of AI Output

Seiv uses artificial intelligence (Anthropic's Claude) to analyze your financial data, generate reports, write narrative summaries, detect anomalies, and respond to your questions. AI-generated content is provided for informational purposes only.

5.2 Not Financial Advice

Seiv is not a licensed financial advisor, accountant, auditor, or tax professional. The reports, summaries, insights, and recommendations generated by the Service do not constitute financial advice, tax advice, investment advice, legal advice, or professional accounting services. You should consult qualified professionals before making financial decisions based on information provided by the Service.

5.3 Accuracy

While we strive for accuracy, AI-generated content may contain errors, omissions, or misinterpretations of your financial data. You are responsible for reviewing and verifying all reports and AI-generated content before relying on them. We do not guarantee the accuracy, completeness, or reliability of any AI-generated output.

6. Your Data

6.1 Ownership

You retain full ownership of your financial data, business information, and any data you provide to the Service. By using the Service, you grant Turaco Labs a limited, non-exclusive license to process your data solely for the purpose of providing the Service to you.

6.2 Data Processing

To provide the Service, your financial data is processed by third-party providers including Anthropic (for AI analysis), Convex (for database storage), and PostHog (for analytics). See our Privacy Policy for full details on data processing.

6.3 Data Deletion

You may request deletion of your account and all associated data at any time by contacting us at hello@seivai.com. We will delete your data within 30 days of your request, except where retention is required by law.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Upload, transmit, or provide data that you do not have the right to share
• Attempt to gain unauthorized access to the Service, other accounts, or any systems or networks connected to the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to generate reports for businesses or financial data you are not authorized to access
• Resell, sublicense, or redistribute the Service or its output without our prior written consent
• Use automated tools, bots, or scripts to access the Service beyond its intended interface
• Interfere with or disrupt the integrity or performance of the Service

8. Intellectual Property

The Service, including its design, code, features, branding, documentation, and AI models (excluding your data), is the intellectual property of Turaco Labs Inc. and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

9. Availability and Modifications

We strive to maintain the Service's availability but do not guarantee uninterrupted access. We may:

• Modify, update, or discontinue features of the Service at any time
• Perform scheduled or unscheduled maintenance that may temporarily affect availability
• Change pricing, plans, or feature availability with reasonable notice

We will make reasonable efforts to notify you of material changes that affect your use of the Service.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Turaco Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, revenue, or business opportunities, arising out of or related to your use of the Service.
• Turaco Labs shall not be liable for any financial decisions made based on reports, summaries, or recommendations generated by the Service.
• Turaco Labs shall not be liable for errors, inaccuracies, or omissions in AI-generated content.
• Turaco Labs's total aggregate liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred US dollars ($100), whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Turaco Labs Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any data or content you provide to the Service
• Your connection of data sources that you are not authorized to access

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service if:

• You violate these Terms
• Your use of the Service poses a security risk or legal liability
• We are required to do so by law
• We discontinue the Service

Upon termination, your right to use the Service ceases immediately. Sections 5.2, 6.1, 10, 11, 13, and 14 survive termination.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the English language. The seat of arbitration shall be Delaware, United States.

14. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Turaco Labs regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
• Notices: We may provide notices to you via the email address associated with your account or through in-app notifications.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. If we make changes that materially reduce your rights, we will notify you via email or in-app notification at least 30 days before the changes take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
